These Terms of Use (“Terms”) govern your access to and use of the Pioneer website, including its content, features, quotation tools, account functions, and online purchasing services. In these Terms, “Pioneer”, “we”, “us”, and “our” refer to Pioneer, and “you” refers to the person or organisation accessing or using this website.

By accessing or using this website, you confirm that you have read, understood, and agreed to these Terms. If you use this website on behalf of a company or other organisation, you confirm that you are authorised to bind that organisation to these Terms. If you do not agree, do not use the website.

1. Eligibility and Business Use

This website is intended primarily for business customers, suppliers, and professional users seeking information about industrial products, manufacturing capabilities, projects, and related services. You must have the legal capacity to enter into binding obligations. You may not use this website where doing so would violate applicable law or any restriction binding on you.

2. Website Information

We make reasonable efforts to keep website information accurate and current. However, product descriptions, specifications, images, drawings, dimensions, materials, colours, availability, lead times, certifications, prices, and other content are provided for general information only unless expressly incorporated into a written quotation, order confirmation, or contract issued by Pioneer.

Manufacturing results may vary within agreed engineering tolerances. Images may not exactly represent the appearance, finish, scale, or configuration of a final product. We may correct errors and change website content, product details, or availability at any time without prior notice.

3. Quotations and Project Enquiries

A request for quotation, technical enquiry, uploaded drawing, or message submitted through this website is an invitation for Pioneer to evaluate your requirements. It is not an offer, acceptance, or binding commitment by either party.

Any quotation is subject to its stated validity period, assumptions, exclusions, minimum order quantities, tooling requirements, taxes, delivery terms, payment terms, production capacity, material availability, and technical review. A binding supply obligation arises only when Pioneer accepts an order in writing or the parties execute a separate agreement.

You are responsible for providing complete and accurate specifications, drawings, quantities, materials, performance requirements, regulatory requirements, delivery information, and intended-use details. Pioneer is not responsible for delay, rework, non-conformity, or additional cost caused by incomplete, inaccurate, inconsistent, or late information supplied by you.

4. Orders and Payment

Where online ordering is available, submitting an order does not guarantee acceptance. We may accept, reject, limit, or cancel an order for legitimate reasons, including pricing or description errors, suspected fraud, sanctions or export-control concerns, stock or capacity limitations, payment failure, or an inability to meet technical requirements.

Prices are stated in the currency shown and exclude taxes, duties, shipping, insurance, installation, and other charges unless expressly stated otherwise. You must provide accurate billing, shipping, and contact information. Payment is due according to the checkout terms, quotation, invoice, or written agreement applicable to the order.

If these Terms conflict with a signed contract, accepted quotation, purchase-order acknowledgement, or specific sales terms issued by Pioneer, the more specific written document controls for that transaction.

5. Delivery, Inspection, and Risk

Delivery dates are estimates unless expressly confirmed as binding in writing. Delivery may depend on technical approval, deposit receipt, material availability, production conditions, carrier performance, customs clearance, and information supplied by you.

Title, risk of loss, inspection periods, acceptance criteria, warranty rights, and remedies are governed by the quotation, order confirmation, applicable Incoterms rule, or separate written agreement. You must inspect delivered products promptly and notify Pioneer of any alleged shortage, damage, or non-conformity within the agreed period.

6. Technical Files and Customer Materials

You retain ownership of drawings, specifications, trademarks, and other materials that you lawfully provide to us. You grant Pioneer and its authorised personnel, affiliates, suppliers, and subcontractors a limited right to use those materials as reasonably necessary to evaluate, quote, manufacture, test, deliver, and support your project.

You confirm that you have all rights and permissions required to provide those materials and that our authorised use of them will not infringe intellectual-property, confidentiality, privacy, export-control, or other rights. Do not upload malicious files or information that you are not authorised to disclose.

Unless a separate non-disclosure agreement applies, website submission alone does not create confidentiality obligations beyond those imposed by applicable law and our Privacy Policy. Contact us before sending highly confidential trade secrets or controlled technical data.

7. Intellectual Property

This website and its text, graphics, photographs, videos, layout, logos, icons, software, product presentation, and other content are owned by or licensed to Pioneer and are protected by intellectual-property laws.

Product warranties, if any, are only those expressly stated in an applicable quotation, order confirmation, warranty document, or signed agreement. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

14. Limitation of Liability

To the maximum extent permitted by law, Pioneer will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss arising from website use, including loss of profit, revenue, production, opportunity, goodwill, anticipated savings, or data.

Where liability relating solely to use of this website cannot be excluded, Pioneer’s aggregate liability will not exceed the greater of the amount you paid specifically for access to the website during the six months preceding the event giving rise to the claim or VND 2,500,000. This limitation does not apply to liability that cannot be limited under applicable law. Liability relating to purchased products or services is governed by the applicable transaction documents.

15. Indemnity

To the extent permitted by law, you agree to indemnify Pioneer against third-party claims, losses, liabilities, and reasonable costs arising from your unlawful use of the website, your breach of these Terms, materials you submit without proper authority, or your infringement of another party’s rights. This obligation does not apply to the extent a claim was caused by Pioneer’s own unlawful conduct.

16. Suspension and Termination

We may restrict, suspend, or terminate access to all or part of the website where we reasonably believe that these Terms have been breached, security is threatened, unlawful activity may be occurring, or suspension is necessary for maintenance or legal compliance. Provisions that by their nature should survive termination will remain effective, including provisions concerning intellectual property, disclaimers, liability, and dispute resolution.

17. Events Beyond Reasonable Control

Pioneer is not responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, fire, flood, epidemic, war, civil disturbance, labour disruption, power or telecommunications failure, cyberattack, transport interruption, government action, trade restriction, customs delay, supplier failure, or material shortage. Specific force-majeure rights for an order are governed by the applicable transaction documents.

18. Governing Law and Disputes

These Terms are governed by the laws of Vietnam, without regard to conflict-of-law principles. Before commencing formal proceedings, the parties will attempt in good faith to resolve a dispute through written notice and commercial discussion. Unless a mandatory law requires otherwise, disputes arising solely from these Terms or website use are subject to the competent courts of Vietnam.

Consumer-protection or other mandatory rights that apply to you remain unaffected.

19. Changes to These Terms

We may update these Terms to reflect changes in the website, our operations, or applicable law. The revised Terms will be posted on this page with a new “Last updated” date. Changes apply from publication unless a later date is stated. Continued use after an update constitutes acceptance to the extent permitted by law.

20. General Provisions

If any provision is held invalid or unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue in effect.
